Board of Director Nominations

Per current WORA By-Laws, Officers shall consist of seven Class A members in good standing, elected for two (2) year terms at the Annual Meeting held each October. Following is the current slate:

Proposed Amendments to WORA By-Laws
In Accordance with the Willow Oaks Recreation Association, Inc. By-Laws under Article VIII – Amendments, the following are proposed amendments to be considered and voted upon at the Annual Membership Meeting of the WORA:
Article IV – Election and Removal of Officers
Current
Section 2: The officers of the WORA shall consist of a Board of Directors of seven members who are in good standing with the WORA. They shall be elected to two (2) year terms by the membership at the annual meeting held in October. Their terms shall be staggered - four (4) members shall be elected in odd numbered years, and three (3) shall be elected in even numbered years.
Proposed Amendments
Section 2: The officers of the WORA shall consist of a Board of Directors of seven members who are in good standing with the WORA and elected at the Annual Membership Meeting held in October of each year. The term for the elected Board of Directors shall be a 2-year term, which shall be staggered with three (3) elected in the even numbered years and four (4) elected in the odd numbered years. Each term shall start on January 1st of the year following the election.

Section 3: The Board of Directors shall elect annually among themselves the following officers:
a. President
b. Vice President
c. Secretary
d. Treasurer
e. Membership Chairman
f. Architectural Control Committee Chairman
g. Director of Community Social Events

All officers shall assume their duties as of January 1 of each year.

Section 3: The Nominations for the Board of Directors are as follows:
a. President - Odd
b. Vice President - Even
c. Secretary - Even
d. Treasurer - Even
e. Membership Chairman - Odd
f. Architectural Control Committee Chairman - Odd
g. Social Events Chairman – Odd (changed from Director of Community Social Events)

Article V – Duties of Officers
Current
Section 2: The President shall preside at all meetings and shall have general supervision of the WORA. The President shall appoint all members of standing and special committees. The President shall be bonded at the discretion of the Board of Directors. The President shall be an ex officio member of all committees.
Proposed Amendments
Section 2: The President shall appoint all members of standing and special committees subject to the approval of Board of Directors by majority vote.
Current
Section 4: The Secretary shall:
a. Issue all notices of meetings and keep minutes of such meetings.
b. Attest by signature and impress with the corporate seal all written contracts and documents as required by the Board of Directors.
c. Maintain a file of all official documents pertinent to the WORA.
d. Publish a newsletter at least quarterly.

Section 4:

Current
Section 6: The Membership Chairman shall be responsible for:
a. Maintenance of membership records of the WORA.
b. Processing all membership fees.
c. Notification of annual membership fees.
d. Review and recommendation of changes to the By Laws to the Board of Directors.

Section 6:

Current
Section 7: The Architectural Control Committee shall be responsible for making architectural control decisions authorized by Protective Covenants in accordance with the Deed of Trust. Members of the Architectural Control Committee must be Class A members in good standing and reside in Willow Oaks during their tenure on the ACC. The Committee will consist of no less than three or more than five members.

Section 7:

Current
Section 8: The Director of Community Social Events shall develop, supervise, and promote social events throughout the year to strengthen the community’s social wellbeing.
Proposed Amendments
Section 8: Social Events Chairman shall oversee and promote social events for WORA.
Remove “The Director of Community Social Events shall develop, supervise, and promote social events throughout the year to strengthen the community’s social wellbeing.”
Article VI – Meetings
Current
Section 4: The members for the Board of Directors shall hold their regular meetings at least monthly. Special meetings of the Board of Directors may be held as requested by at least five (5) Directors.
Proposed Amendments
Section 4: Special Board Meetings may be held as requested by at least four (4) Directors.
